PART A — GENERAL
1. Name of the Company
- The name of the Company is Occupational Therapy Australia Limited.
2. Type of Company
- The Company is a public company limited by guarantee incorporated under the Corporations Act 2001 (Cth).
- The Company
- is a charity as defined in the Charities Act 2013 (Cth), and
- is registered as a charity with the ACNC.
- The assets and income of the Company must be applied solely in furtherance of the Purpose and no portion of the income or assets of the Company may be paid or transferred, directly or indirectly, to any Member.
- Clause 2.3 does not prevent the Company from doing the following things, provided they are done in good faith:
- paying a Member for goods or services they have provided to the Company at fair and reasonable rates or rates more favourable to the Company,
- reimbursing a Member for reasonable expenses they have properly incurred on behalf of the Company,
- making a payment to a Member in carrying out the Purposes, or
- making a payment for any other bona fide reason related to the attainment of the Purposes.
- This Constitution comprises a contract between:
- the Company and each Member,
- the Company and each Director,
- the Company and the Secretary or Secretaries, and
- a Member and each other Member.
- The replaceable rules set out in the Corporations Act do not apply to the Company.
